1. REGULATORY STATUS AND SCOPE OF SERVICE
Leading Bridges Ltd. (the "Corporation", "we", "us", or "our") operates the online platform located at https://leadingbridgesltd.com (the "Platform"). The Corporation is officially registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) and operates as an Exempt Funding Portal under the Canadian Start-up Crowdfunding Prospectus Exemption framework (National Instrument 45-110).

The Platform serves exclusively as an infrastructure utility matching Canadian individual and corporate investors with promising infrastructure, business, and asset development projects across Africa.

2. ACKNOWLEDGEMENT OF RISK AND NO ADVICE
By accessing the Platform, you explicitly acknowledge that:
• No Investment Advice: The Corporation is an exempt funding portal and does not provide investment advice, financial planning counsel, or suitability reviews. We do not review, endorse, or pass judgment on the commercial merits, financial projections, or viability of any project listed.
• Total Loss Potential: Early-stage cross-border deployments carry an inherently high degree of risk. You could lose 100% of your invested capital.
• Statutory Gateways: Before completing any investment, you must read the Issuer’s official Form 45-110F1 Offering Document and digitally sign the legally mandated Form 45-110F2 Risk Acknowledgement.

3. GEOGRAPHIC RESTRICTIONS AND VPN PROHIBITION
The Platform is strictly optimized for and legally restricted to residents operating within authorized Canadian provinces.
• User Geo-Blocking: To maintain regulatory compliance, public access is geo-restricted.
• VPN Prohibition: Standard users are strictly prohibited from utilizing Virtual Private Networks (VPNs), proxy servers, or any location-spoofing technology to access the Platform. Any attempt to obscure your digital location will result in immediate account termination.
• Owner Access Exception: Remote administrative interactions by authorized platform owners originating outside Canada are strictly restricted to dedicated, static IP whitelists pre-configured within our security architecture.

4. USER ONBOARDING AND MANUAL KYC/AML PROCEDURES
All registered accounts are initialized in a "Pending Verification" status, dynamically locking all campaign checkout pipelines and bank trust details. To activate an account, you must satisfy our manual Customer Due Diligence (CDD) workflows, which carry a strict 24-to-48-hour operational service level agreement (SLA).

• Individual Investors: You must provide your full legal name, date of birth, physical address, clear photos of a government-issued photo ID, and a matching "Liveness Selfie" holding your physical ID alongside a handwritten note dated with the current calendar day.
• Corporate Investors (The 5-Upload Protocol): Corporate applicants must upload Articles of Incorporation, a current Directors Report, a Capitalization Table, Company Bank Details, and a signed Corporate Resolution of Authority.
• The 25%+ Beneficial Owner Mandate: Pursuant to FINTRAC regulations, corporate applicants must disclose the legal identity data and upload government-issued photo IDs for any individual holding or controlling a 25% or greater equity stake in the company.

5. PROTECTION OF FUNDS AND SEGREGATED TRUST ACCOUNTS
In strict compliance with National Instrument 45-110, the Corporation maintains absolute separation between operational capital and investor funds.
• Segregated Banking: All committed funds are held in trust inside a segregated account at a regulated Canadian financial institution.
• Funding Execution: Capital will only be released to the project issuer if the campaign successfully hits its regulatory minimum target by the specified deadline and the mandatory 48-hour investor cancellation window has closed.
• Automated Return: If a campaign is cancelled or fails to hit its target, 100% of your committed funds will be returned automatically without deductions.

6. CONTEXT-LOCKED CHECKOUT AND ALPHANUMERIC LEDGERING
To complete a transfer via Interac e-Transfer or Wise, investors must follow our context-locked ledger protocols:
• Alphanumeric Reference Code: The checkout interface will generate a unique code string prefixed with our initials (e.g., LB-000123). You MUST paste this exact string into your bank transfer's "Memo" or "Message" field.
• Legal Name Matching: The originating bank account name must exactly match the approved individual or corporate name on your Platform profile. Third-party deposits are strictly barred under AML rules.
• Non-Compliance: Failure to include your unique LB- code or attempting third-party deposits will result in the transfer being flagged for a manual audit, held, or returned to the sender.

7. CURRENCY EXCHANGE RISK
Platform capital is processed in Canadian Dollars (CAD), whereas underlying operational projects across Africa are executed in local sovereign currencies (such as the Central African CFA franc - XAF). The Corporation assumes no liability for exchange rate fluctuations. Investors carry all risk associated with cross-border currency conversion affecting asset valuations or corporate buybacks.

8. THIRD-PARTY BUYBACK GUARANTEES
Certain campaigns may feature a corporate "Buyback Guarantee." You acknowledge that any such arrangement is a strict corporate obligation between you and the specific Project Issuer only. Leading Bridges Ltd. does not issue, back, insure, or financially guarantee any share repurchases or capital protections.
